Article I
Event Organizer

Organizer: Samonnoy - Bangladesh

(The "Organizer")

Article II - Registration and Allocation of Exhibition Space

1. The registration application submitted to the Organizer shall be binding upon the Exhibitor/Co-exhibitor.

2.The Organizer reserves the right to accept, accept in reduced form, or reject any registration without giving reasons.

3. The rental payment must be made by the due date mentioned on the invoice. Failure to make payment on time will result in the exhibition space not being handed over for stand-fitting or use.

4. Non-payment of rent by the due date shall constitute a substantial breach of contract, and the Organizer reserves the right to withdraw from the Contract. In such case, the registration fee will not be reimbursed.

5. The Exhibitor is responsible for ensuring compliance with all obligations related to its participation, including that of Co-exhibitors and subcontractors. Any changes require prior written approval from the Organizer.

6. The Organizer reserves the right to modify the size or location of the exhibition space even after confirmation.

7. The rates shown in the registration form include rent, utilities (lighting, heating, etc.), event promotion, and organizational and technical support.

Article III - Exhibition Space Rent

Minimum individual stand: 9 sqm

Minimum segment of a joint stand: 6 sqm

2. Exhibitors shall not sublet or share their allocated space without prior written approval from the Organizer.

3. Cancellation Policy:

Registration fees are non-refundable.

Cancellations after stand allocation will incur a 100% cancellation fee, payable immediately.

Article IV - Payment Terms and Conditions

The Exhibitor undertakes to pay all invoices from the Organizer by the specified due date. Delayed payments may lead to cancellation of participation without refund.

Article V- Exhibits and Product Sales

1. "Exhibits" refer to products, goods, or items registered for display and sale in the allocated area.

2. As this is a sales exhibition, all exhibits must be clearly displayed with visible price tags inclusive or exclusive of VAT, as per Danish regulations.

3. All product sales conducted during the exhibition are subject to 25% Danish VAT, which will be charged to the buyer.

4. Exhibitors are responsible for the authenticity and legal compliance of the goods they sell.

5. Exhibitors must protect their exhibits and goods against loss or theft.

Article VI - Stand-Fitting, Installation and Disassembly

1. Stand-fitting, installation, and dismantling schedules will be determined by the Organizer. Any exceptions require prior approval and may incur extra charges.

2. The official stand-fitting contractor:

If using another contractor, the Exhibitor assumes full responsibility for safety compliance and adherence to the schedule

3. Fire exits, alarms, and safety devices must remain accessible at all times.

4. Maximum stand height: 3 meters. Any variation must be approved in writing, with submission of technical drawings.

5. Stand design must not obstruct or interfere with neighbouring stands.

6. Allutilities (power, water, waste, etc.) must be ordered through the Organizer only.

7. Exhibitors are responsible for returning borrowed equipment undamaged.

8.Any damage caused to the venue or Organizer's property must be repaired or reimbursed by the Exhibitor.

9. Early disassembly or removal of exhibits during the exhibition is prohibited and subject to a €1,000 penalty.

Article VII - Promotion and Catalogue Entry

1. Exhibitors may promote their products only within their own stand. External or roaming promotion requires prior Organizer approval.

2. Any presentation producing noise, smoke, or disturbance (music, videos, live demos, etc.) must be pre-approved. Unauthorized activities may be stopped at the Exhibitor's expense.

3. Exhibitors registered by the deadline will appear in the official event catalogue. Additional promotional listings may be arranged at extra cost.

Article VIII - Liability and Insurance

1. The Organizer shall not be liable for any loss, theft, damage, or destruction of exhibits or personal belongings before, during, or after the event.

2. Exhibitors are strongly advised to arrange their own insurance coverage for goods and equipment.

Article IX - One-Stop Payment Collection and Tax Compliance

1. To ensure compliance with European VAT and Danish tax regulations, allsales at the exhibition shall be processed through a one-stop payment collection system managed by the Organizer or its authorized representative.

2. The Organizer will collect payments from buyers on behalf of exhibitors during the event to ensure proper accounting and VAT reporting at 25%.

3. After deduction of applicable VAT and taxes, net proceeds will be disbursed to each exhibitor, along with a detailed sales statement.

4. Exhibitors must cooperate with the Organizer and provide necessary tax documents or registration information as required by Danish authori

Article X - Force Majeure

1. If the event cannot be held as planned due to force majeure (e.g.,natural disaster, government restrictions, pandemic), the Organizer will notify exhibitors immediately.

2. Exhibitors are not entitled to claim compensation for resulting losses.

3. Payments already made will be applied toward costs incurred, and if feasible, participation will be rescheduled at a later date using the remaining balance.

Article XI - Complaints

All complaints regarding services or organization must be reported to the Organizer's authorized representative during the event. Complaints after the event will not be considered.

Article XII - Breach of Terms

These Terms and Conditions shall be governed by and construed in accordance with the laws of Denmark. Any disputes arising from participation in the event shall be subject to the exclusive jurisdiction of the courts in Copenhagen
